Revealed: Boy Thohir - Backed Firm ADRO Cuts Capital by Rp2.71 Trillion

PT Alamtri Resources Indonesia (ADRO), a company controlled by Indonesian conglomerate Garibaldi Thohir, also known as Boy Thohir, has transferred 1.36 billion treasury shares obtained through a share buyback program, with a total value of Rp2.71 trillion. The transfer was executed through a reduction of issued and fully paid-in capital.

 

The share transfer took place on August 5, 2025, involving shares repurchased under a buyback program completed on May 16, 2025, at an execution price of Rp1,984 per share.

 

In addition, the company carried out another buyback on June 2, 2025, acquiring 33 million shares at Rp2,066 per share for a total of Rp68.17 billion. The final buyback transaction occurred on June 3, 2025, involving 556.19 million shares at a price of Rp1,919 per share, amounting to Rp1.06 trillion.

 

Following these corporate actions, the remaining treasury shares yet to be transferred totaled 589.19 million shares, valued at approximately Rp1.13 trillion. The share transfer was conducted through a reduction in issued and paid-up capital, in accordance with shareholder approval obtained at the Annual General Meeting of Shareholders held on June 2, 2025.

 

The company stated that the capital reduction was carried out in compliance with Article 44 in conjunction with Article 45 of Law No. 40 of 2027 on Limited Liability Companies, as amended, as well as Articles 21 and 22 of Financial Services Authority (OJK) Regulation No. 29 of 2023.
